TERMS AND CONDITIONS OF SALE

PARTIES TO THE CONTRACT

The term "Client" means any legal or natural person who has required the professional skills and services of Fugitisme Design. The term "Third" means any natural or legal person not party to the contract. Fugitisme Design is an agency registered with the RCS under number 814 428 785, SIRET 93157072500016, domiciled at 60 rue François 1er – 75008 PARIS (France).

 

GENERAL PROVISIONS

These general Terms and Conditions of Sale define the rights and obligations of the parties for any order placed by a Client with Fugitisme Design in the context of its graphic, sound, and audiovisual design and creation activities, by any means of communication (mail, telephone, email, etc.).

Fugitisme Design reserves the right to change its Terms and Conditions of Sale, formulas and tariffs at any time without notice. However, these changes do not apply to current orders.

The Client acknowledges having reviewed the artistic and technical capabilities of the agency before requesting its services and unreservedly accepts these Terms and Conditions of Sale. The signing of any quotation or order implies full and complete acceptance of these terms, as well as the agreed specifications. The service includes only what is explicitly listed in the quote; any item not mentioned is not part of the service.

 

CLIENT'S RESPONSIBILITY

The Client agrees to provide accurate, truthful, and up-to-date information, and to inform Fugitisme Design of any changes. The Client remains solely responsible for the consequences of providing incorrect information. The Client must maintain valid contact details (postal address, email, and telephone number) and remain reachable for the entire duration of the project.

 

COMMITMENTS OF THE PARTIES

In general, both parties undertake to cooperate actively to ensure the proper performance of the contract and to report any difficulties encountered in order to take the necessary measures.

The Client undertakes to:

  • Provide a precise specification and validated sheet by Fugitisme Design.

  • Sign and return the quote and the TCS.

  • Transmit all the elements necessary for the performance (texts, visuals, sounds, videos...) in the required formats and guarantee the corresponding rights.

  • Respond to requests in a reactive and constructive manner to facilitate project progress.

  • Pay the amounts due within the agreed deadlines.

  • Collaborate in a transparent, sincere and respectful manner.

Fugitisme Design undertakes to:

  • Bring its expertise to assist the Client in preparing the specification sheet, if necessary.

  • Ensure that the delivered creations are legally available and do not infringe the rights of any third parties within the framework defined by the contract.

  • Inform the Client regularly of the progress of the project (sketches, validations).

  • Respect the confidentiality of all information provided by the Client, including after the end of the contract.

 

ADDITIONAL FEES

Technical fees or items not included in the initial offer (image libraries, fonts, printing, etc.) will be billed separately. Any request for substantial modifications during the project, involving additional work beyond the initial quotation, will incur supplementary charges.

 

ORDER FORM AND COMMENCEMENT OF WORK

Signing the quotation and the general terms and conditions of sale constitutes an order. A deposit of 30% of the total amount is required to commence the service. Work will begin only after receipt of the signed contractual documents, the deposit, and all necessary project materials.

 

APPROVALS

The Client must validate the proposals (sketches, documents) in writing (e-mail). Without validation or request for amendment within 15 days, the proposal will be considered accepted.

 

APPROVAL OF THE PROOF (BAT)

As part of a specific mission, Fugitisme Design will give the Customer a BAT (Ready to Print) in the form of a written document. This document will provide a summary of the graphic visual ordered by the Customer. It must be validated and signed by the Customer before printing. Any challenge from the Customer after signing the voucher will be void and may be refused by Fugitisme Design.

 

INVOICE AND PAYMENT

Unless specifically agreed, the payment of invoices must be made no later than 30 days after issue. Any delay results in legal penalties and, where appropriate, the Client's recovery costs.

 

ORDER CANCELLATION

In the event of termination of the contract by the Client, all amounts corresponding to work already completed shall remain payable. The deposit paid shall remain the property of Fugitisme Design as compensation. The source files and copyright shall remain the exclusive property of the agency, unless otherwise agreed.

 

LOCATION AND TRAVEL

Unless agreed in writing between Fugitisme Design and the Customer, Fugitisme Design reserves the right to carry out its mission outside the Customer's premises and to choose the place where it will carry it out. The Customer, if he can offer it, undertakes not to impose on Fugitisme Design a physical presence or a move in any place, whatever the phase or advance of the mission. In the event of work in the management department, whether on a one-time basis or not, the Customer undertakes to make any equipment, supply and infrastructure available to Fugitisme Design if the fulfilment of the mission requires it.

 

WORK INCAPACITY

In the event of incapacity for work, as a result of illness or accident, Fugitisme Design reserves the right to change the current calendar without the payment of compensation by the Customer. It is accepted that Fugitisme Design must warn the Customer from the first working day of his incapacity. In order to preserve calendar imperatives, Fugitisme Design reserves the right to call on subcontractors.

 

THE FORCE MAJEURE

None of the parties will be held liable for non-execution due to force majeure. The contract will be suspended until the event disappears. These include:
considered as force majeure: natural disasters, fires, storms, floods, network shutdowns (including Internet) and transportation blockages or supplies. The affected party must inform the other within 5 working days. The parties will then agree on modalities for the continuation of the contract.

 

DISPUTE RESOLUTION

The contract is subject to French law. Any dispute or dispute concerning the interpretation or performance of this contract shall be brought, in the absence of an amicable agreement between the parties, before the competent courts, to which they expressly assign jurisdiction.

 

OWNERSHIP OF WORKS AND TRANSFER OF RIGHTS

The creations remain the property of Fugitisme Design until full payment. The rights of use are transferred to the Client only within the framework and limits defined in the quote
or contract. The source files are transmitted only with written agreement. The work remains confidential and cannot be communicated to third parties without authorization. In accordance
under the Intellectual Property Code (CPI), moral rights always belong to the author. Only the economic rights explicitly specified in the contract are transferred, within the defined limits (medium, territory, duration). Any reproduction, adaptation, or modification without consent is prohibited. Each new edition or adaptation requires a new transfer of rights and may entail a financial adjustment.

 

REPRODUCTION AND DISTRIBUTION

The rights are transferred according to the scope and terms of the contract. Economic rights are fully and exclusively assigned to the Client for the intended use, upon full payment of the fees.

 

COPYRIGHT AND COMMERCIAL CREDIT

Unless otherwise agreed, Fugitisme Design may include a commercial mention (“Created by Fugitisme Design”) in its work, with a link to its website when possible. The Client agrees not to remove it.

 

ADVERTISING AND REFERENCES

Fugitisme Design peut présenter les réalisations comme références dans sa communication commerciale. Le Client ne peut s’y opposer.

 

RIGHT TO IMAGE

Toute création représentant des personnes identifiables ou des monuments nécessite une autorisation préalable du Client ou de Fugitisme Design. La responsabilité civile peut être engagée en cas de préjudice.
